What is the BOIR Report Filing (BOIR)?


Brand New Reporting Requirement.

Beneficial Ownership Information Report (BOIR) is

a brand new Report required by the Department of Treasury, specifically the Financial Crimes Enforcement Network (FinCEN), to be filed by December 31, 2024.

 

The Corporate Transparency Act requires most businesses to report information about their Owners or “Beneficial Owners” to the Financial Crimes Enforcement Network (FinCEN).

Who Needs to File?

  1. Corporations (S-Corp & C-Corps)
  2. All LLCs – active and inactive
  3. Partnerships


 What Happens If You Don’t File a BOIR?


Penalties for missing the 12/31/2024 Deadline include exorbitant costs for non-compliance. They are as follows:

  • $591 per day (unlimited days)
  • $10,000 in criminal fines and
  • Up to 2 Years in Prison/Jail.

The BOIR is filed with the Criminal Division of the Department of Treasury – FinCEN, not the IRS.


Deadline for Electronic Filing of BOIR is

12/31/2024. Note: FinCEN does NOT allow extensions. For new clients our deadline is 10/15/2024.
